TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and SuperTrace, Inc. (“SuperTrace,” “we,” “us,” or “our”), governing your access to and use of SuperTrace’s software-as-a-service products, websites, applications, APIs, and related services (collectively, the “Services”).

SuperTrace, Inc. is a Delaware corporation with its principal office in New York City. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not have such authority, or if you do not agree with these Terms, you must not accept this agreement or use the Services.

2. SERVICES

SuperTrace provides AI-driven network automation solutions for enterprises, ISPs, MSPs, and data centers. The Services are delivered via a SaaS model, accessible through a secure online platform. We may modify or enhance the Services at our discretion but will notify you of material changes.

3. SUBSCRIPTION TERMS

The Services are offered on a subscription basis. The subscription term, fees, and billing cycle will be outlined in your Order Form or Service Agreement. Subscriptions automatically renew unless either party provides written notice of non-renewal at least 30 days before the end of the current term.

4. FEES AND PAYMENT

• Payment Terms: You agree to pay all fees as specified in your Order Form. Fees are due in U.S. dollars within 30 days of the invoice date unless otherwise agreed.
• Late Payments: Overdue amounts may accrue interest at 1.5% per month (or the maximum allowed by law), plus collection costs.
• Taxes: Fees exclude taxes. You are responsible for all applicable taxes, except for taxes based on SuperTrace’s income.
